These Terms of Service (the "Agreement") govern your access to and use of the Tabillo platform, including the website at tabillo.com, any associated web applications, APIs, and related services (collectively, the "Platform"), provided by Tabillo Inc., a corporation incorporated under the laws of Ontario, Canada ("Tabillo," "we," "us," or "our").
By registering for an account, accessing, or using the Platform in any way, you ("User," "you," or "your") agree to be bound by this Agreement and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement, and all references to "you" include that entity.
If you do not agree to these Terms, you must immediately discontinue use of the Platform.
To use the Platform, you must be at least 18 years of age. By creating an account, you represent and warrant that:
You are responsible for all activity that occurs under your account. Creating multiple accounts for the same individual, impersonating others, or providing false registration information is prohibited and may result in immediate termination.
Subject to your compliance with this Agreement, Tabillo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business or personal productivity purposes.
You may not, directly or indirectly:
All rights not expressly granted in this Agreement are reserved by Tabillo.
Paid plan pricing is listed at tabillo.com/#pricing and is denominated in Canadian dollars (CAD), exclusive of applicable taxes. Tabillo reserves the right to change pricing at any time, with reasonable advance notice to existing Customers.
AI Credits may be included within a plan or purchased separately. Purchased AI Credits are non-transferable and associated with the account that purchased them.
All payments are processed by Stripe, Inc. By subscribing to a paid plan or purchasing AI Credits, you authorize Tabillo and Stripe to charge your payment method on the applicable billing schedule. You are responsible for keeping your payment information current and accurate.
Paid subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting support@tabillo.com. Upon cancellation, your subscription remains active and accessible until the end of the current billing period. No further charges will be made after that date.
If a payment is not successfully processed, we will notify you and allow a grace period of 14 business days from the original due date to resolve the outstanding balance. If payment remains unresolved after this grace period, Tabillo reserves the right to suspend access to your account until the balance is settled. Continued non-payment following suspension may result in account termination in accordance with Section 14 of this Agreement.
You are solely responsible for all applicable taxes, levies, or duties arising from your use of the Platform, excluding Tabillo's own income taxes. Where required by law, Tabillo may collect and remit applicable sales or consumption taxes.
All fees paid to Tabillo are generally non-refundable. Specifically:
For paid plan Customers, you may request a refund for unused AI Credits by emailing support@tabillo.com, provided the unused AI Credits remaining in your account are valued at CAD $100 or more at the time of the request. Refund eligibility and amounts are determined at Tabillo's sole discretion. Tabillo reserves the right to modify or discontinue this refund accommodation at any time without prior notice.
Refund requests for unused AI Credits on paid plans must be submitted by email to support@tabillo.com. Requests for amounts below CAD $100 will not be processed.
The Platform relies on and may integrate with third-party services, including but not limited to Stripe (payments), Vercel (hosting), Neon (database), Resend (email), Google Analytics (analytics), and Anthropic (intelligence). These services operate under their own terms and privacy policies, and Tabillo is not responsible for their availability, accuracy, or conduct.
Tabillo disclaims all liability for any disruption, loss of data, or other harm arising from the failure, modification, or discontinuation of any Third-Party Service. Your use of Third-Party Services is at your own risk.
You retain full ownership of all Customer Data you upload to or create within the Platform. By using the Platform, you grant Tabillo a limited, non-exclusive licence to host, store, process, and transmit your Customer Data solely as necessary to provide and operate the Platform and as described in our Privacy Policy.
We do not sell our Customer Data to third parties, and we do not use our Customer Data for paid accounts to train AI models without your prior explicit consent. Tabillo participates in Anthropic's Development Partner Program, under which development-session interactions with Claude may be shared with Anthropic to help improve their services. This program does not include your workspace content or Customer Data.
Each party agrees to keep confidential any technical, financial, business, or strategic information of the other party that is disclosed in connection with this Agreement and that is reasonably understood to be confidential, and to use such information only for the purposes of this Agreement.
Tabillo implements industry-standard technical and organizational safeguards to protect Customer Data. However, no system can guarantee absolute security, and Tabillo is not liable for unauthorized access to Customer Data except where caused by Tabillo's gross negligence or willful misconduct.
Tabillo aims to maintain high Platform availability but does not guarantee uninterrupted or error-free access. Planned maintenance, updates, and factors outside our control may result in temporary unavailability. Tabillo reserves the right to modify, suspend, or discontinue any Platform feature at any time, provided core functionality remains substantially available.
Customer support is provided by email at support@tabillo.com during business hours: Monday to Friday, 9:00 AM – 5:00 PM Eastern Time, excluding Canadian public holidays.
You agree not to use the Platform to:
Tabillo reserves the right to investigate suspected violations and to suspend or terminate accounts that breach this policy, with or without prior notice.
The Platform and all Tabillo Content — including but not limited to software, code, design, user interface, text, graphics, logos, and trademarks — are the exclusive intellectual property of Tabillo Inc. and are protected by applicable Canadian and international intellectual property laws. This Agreement does not transfer any ownership rights to you.
If you provide Tabillo with feedback, suggestions, or ideas about the Platform, you grant Tabillo a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including improving the Platform, without any obligation or compensation to you.
The Platform is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by applicable law, Tabillo expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Tabillo makes no warranty that the Platform will be error-free, uninterrupted, secure, or free from data loss. You use the Platform at your own risk.
To the maximum extent permitted by applicable law, Tabillo's total aggregate liability to you for any claims arising from or related to this Agreement or your use of the Platform shall not exceed the greater of:
If you are on the free plan at the time of the claim and have never held a paid plan, Tabillo's total liability is limited to CAD $100.
In no event will Tabillo be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if Tabillo has been advised of the possibility of such damages.
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. If you belong to such a jurisdiction, we recommend that you do not use our service for now.
You may terminate your account at any time by contacting support@tabillo.com or through your account settings. Termination of a paid subscription takes effect at the end of the current billing period; access continues until that date.
Tabillo may immediately suspend or terminate your account and access to the Platform if:
Upon termination, your right to access the Platform ceases immediately. Tabillo will retain our Customer Data for 60 days following the effective date of termination, during which you may request an export of your data by emailing support@tabillo.com. After this period, your data will be permanently deleted, except where retention is required by law.
Tabillo reserves the right to modify this Agreement at any time. For material changes, we will provide at least 30 days' advance notice before the changes take effect, by email to your registered address or through a prominent notice on the Platform. Non-material changes (such as clarifications or corrections) may take effect immediately upon posting.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Agreement. If you do not agree to the revised terms, you must stop using the Platform and cancel your account before the effective date.
This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
Before initiating any formal dispute process, you agree to contact Tabillo directly at support@tabillo.com and provide a clear, written description of your concern. You agree to give Tabillo a reasonable opportunity — no less than 30 days — to review and respond to your concern in good faith. Both parties commit to communicating professionally and in a constructive manner throughout this process. Many issues can and should be resolved through direct communication, and Tabillo is committed to working with you to find a fair resolution.
If a dispute cannot be resolved through good faith negotiation, both parties agree that the dispute shall be finally resolved by binding arbitration conducted in Toronto, Ontario, Canada, in English, under arbitration rules mutually agreed upon by the parties or, failing agreement, under the rules of a recognized Canadian arbitration body. The decision of the arbitrator shall be final and binding on both parties.
Arbitration is intended to provide a private, efficient, and fair resolution process. Nothing in this clause prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent immediate and irreparable harm.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Tabillo regarding the Platform and supersedes all prior agreements, representations, and understandings relating to the same subject matter.
You may not assign or transfer your rights or obligations under this Agreement without Tabillo's prior written consent. Tabillo may freely assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
Tabillo will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, internet or telecommunications outages, labour disputes, pandemic, or governmental action.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Tabillo's failure to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision.
Legal notices to Tabillo must be sent in writing to support@tabillo.com or by mail to the address below. Notices to you will be sent to your registered email address.
